Application & Membership Terms

Applicant represents that they are an authorized representative who may accept the agreement on behalf of their affiliation (organization/company).

Applicants agree to review and sign the Membership Agreement and abide by all COE governance policies, operating rules, bylaws

Applicant understands that COE membership commences once the Membership Agreement is signed and approved.

By submitting this Application, applicants represent that the information herein is a complete, true and correct statement of the Applicant's organization and its qualifications for COE membership.

Applicant agrees to disclose any changes affecting representation that it meets the requirements of membership in COE.

Applicant agrees that the review body has the right in its sole discretion to accept or reject membership based on the determination of whether the Applicant does or does not meet the membership requirements of COE Bylaws and Membership Agreement.

Applicant and members agree to maintain an active NDA status and adhere to all NDA terms for the duration of COE membership and – including and not limited to – any recourse for infringement and/or violation of terms as specified in the NDA and/or prohibited by law (local, state, country, international) – pertaining to access to, photographing and distribution of privileged, proprietary, restricted, embargoed, classified and confidential information contained in documents, content, communications, including intellectual property, products and technologies in design, under development, in production, made available to and between members and/or disseminated through any/all programs, means and mediums – in person, online, briefings, meetings, email, etc., as provided by the company, its representatives and/or individual(s) including co-design collaborations, collaborators, etc.

Co-Design Initiatives are provided for under separate terms and agreements available through the COE project pages for purposes of individual, multi-party and/or ‘the Company’, the Initiative and its Members protection.

Members agree to hold all Confidential Information in confidence and will not disclose, use, copy, publish, summarize, remove from the premises or distribute any Confidential Information of the Company, the Initiative or its Members or directly or indirectly participate in or assist any business which is a current or potential supplier, customer, or competitor of the Company, the Initiative or its Members. “Confidential Information” shall mean all information related to any aspect of the business of the Company, the Initiative and its Members which is either information not known by actual or potential competitors or is proprietary information whether of a technical nature or otherwise.

Confidential Information includes inventions, disclosures, processes, systems, methods, formulae, devices, patents, patent applications, trademarks, intellectual properties, instruments, materials, products, patterns, compilations, programs, techniques, sequences, designs, research or development activities and plans, specifications, computer programs, source codes, costs of production, prices or other financial data, volume of sales, promotional methods, marketing plans, lists of names or classes of customers or personnel, lists of suppliers, business plans, business opportunities or financial statements.

Members agree to safeguard and keep confidential the proprietary information of customers, vendors, consultants and other parties with which the Company, the Initiative and its Members does business to the same extent as if it were Confidential Information. All inventions, ideas, designs, circuits, schematics, formulas, algorithms, trade secrets, works of authorship, developments, processes, techniques, improvements, and related know-how which result from collaborative work with others, on behalf of Company, the Initiative and its Members or through access to Confidential Information or property, whether or not patentable or copyrightable (collectively “Inventions”) including all papers, records, data, notes, drawings, files, documents, and all copies, samples, devices, prototypes, products, equipment and other materials and in whatever form relating to the business of Company, the Initiative and its Members, whether or not confidential, are the sole and exclusive property of Company, the Initiative and its Members.
